Any additional work requested outside the agreed scope may incur additional charges.

  1. Client Responsibilities

The client agrees to:

  • Supply all required content, images, branding assets, and credentials on time.
  • Review submitted work within a reasonable period.
  • Make payments according to agreed schedules.
  • Ensure they have legal rights to all materials provided to us.

Project timelines may be affected if required information or approvals are delayed.

  1. Payments
  • All invoices must be paid on or before the due date.
  • Projects may require an advance payment before work begins.
  • Remaining payments shall follow the agreed payment schedule.
  • Delayed payments may result in temporary suspension of services.
  • All applicable taxes, including GST (where applicable), are the client’s responsibility.
  1. Refund Policy

Due to the nature of digital marketing and creative services:

  • Payments made are generally non-refundable.
  • Refunds, if approved, will be at the sole discretion of Adverseo Social.
  • No refund will be provided for completed work, consultation services, or digital deliverables already shared.
  1. SEO & Marketing Disclaimer

Digital marketing results depend on numerous external factors including:

  • Industry competition
  • Website quality
  • Advertising budgets
  • Customer behavior

Therefore, Adverseo Social does not guarantee:

  • First-page Google rankings
  • Specific keyword positions
  • Guaranteed leads
  • Sales
  • Revenue
  • Return on Investment (ROI)

We commit to using industry best practices to achieve the best possible results.

  1. Advertising Platforms

For paid advertising services:

  • Advertising budgets are separate from our service fees.
  • Clients are responsible for ad spend unless otherwise agreed.
  • Platform policies (Google, Meta, LinkedIn, etc.) are beyond our control.
  • We are not responsible for ad account suspension or policy violations caused by previous account history or prohibited content.
  1. Website Development

Unless specifically included in the proposal:

  • Domain registration
  • Hosting
  • Premium plugins
  • Premium themes
  • Third-party software licenses
  • SSL certificates
  • Annual renewals

are not included in project pricing.

Website ownership is transferred after full payment has been received.

  1. Intellectual Property

Until full payment is received:

  • All designs
  • Graphics
  • Source files
  • Marketing assets
  • Website files

remain the property of Adverseo Social.

Upon receiving complete payment, ownership of the final approved deliverables transfers to the client, except for third-party licensed assets.

  1. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the project.

We will never sell or intentionally disclose client information to third parties unless required by law.

  1. Third-Party Services

Our services may involve third-party platforms including but not limited to:

  • Google
  • Meta (Facebook & Instagram)
  • LinkedIn
  • WordPress
  • Shopify
  • WooCommerce
  • Hosting providers
  • Payment gateways

We are not responsible for downtime, pricing changes, account restrictions, or policy changes made by these providers.

  1. Limitation of Liability

Adverseo Social shall not be liable for:

  • Business losses
  • Revenue loss
  • Data loss
  • Website downtime
  • Search ranking fluctuations
  • Advertising account suspension
  • Indirect or consequential damages

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

  1. Project Cancellation

Either party may terminate a project by providing written notice.

If cancellation occurs:

  • Payments for completed work remain payable.
  • Advance payments are non-refundable.
  • Completed deliverables will be shared only after outstanding payments are cleared.
